Important: These Terms and Conditions (“Terms”) form a legally binding agreement between you (“you”, “your”, “User”) and Block Terminal (“we”, “us”, “our”). By purchasing or using any license offered via blockterminal.sh, you agree to these Terms. This document is provided for general product use and does not constitute legal advice.

1. Definitions

“License” means a right to use node software provided by an external ecosystem or issuer.
“Software” means node or related software authored, owned, or issued by third-party ecosystems, not by us.
“Ecosystem Issuer” means the third party that creates/maintains the Software and controls licensing terms for that Software.
“Platform” means our website and services available at blockterminal.sh.

2. Scope of Services

We operate a marketplace facilitating the sale and distribution of Licenses to node software across different ecosystems. We do not distribute or maintain the Software itself, and we do not control how the Software operates. Our responsibility is limited to making Licenses available to you and recording your purchase.

3. Software & Rewards Disclaimer

  • The Software is obtained directly or indirectly from the relevant Ecosystem Issuer. We are not the issuer, developer, auditor, or maintainer.
  • We make no guarantees as to Software performance, uptime, security, compatibility, or fitness for any particular purpose.
  • We have no liability for any rewards, yields, fees, penalties, slashing, missed rewards, downtime, or any on-chain or off-chain outcome.
  • No investment advice or offer: purchasing a License is not a purchase of a security, investment product, or expectation of profit. You are buying a right to run Software on your own terms and infrastructure.

4. Licenses: Nature, Use & Restrictions

  • Licenses are granted by the relevant Ecosystem Issuer; we facilitate sale and record-keeping.
  • You may run the Software wherever you choose, subject to the Ecosystem Issuer’s terms and applicable laws.
  • Non-transferable: Licenses are non-transferable unless expressly permitted by the Ecosystem Issuer and our Platform in writing.
  • No returns: All License sales are final and non-refundable, except as expressly set out in Section 8 (Aventus Exception).

5. Payments & Wallet

Payment for Licenses must be made on-chain to our master wallet: 0xB4a6f384d05D6c8f5229Ba0fCd4169b2fb5D1ccd. Do not send funds elsewhere. You are responsible for network fees and selecting appropriate gas settings, sending from a wallet you control and are the owner of, confirming the transaction details before sending funds. Transactions sent to incorrect or unauthorized addresses are irreversible, and we are not liable for any losses resulting from user error, network congestion, blockchain malfunction of down-time, or any third aprty failures. We do not custody your funds (see Section 7). All payments are recorded on-chain for verification and audit purposes.

6. KYC/AML & Right to Refuse

  • We use third-party providers (e.g., SumSub and ScoreChain) to perform KYC and AML checks.
  • We do not store your KYC/AML documentation; we receive pass/fail or equivalent signals.
  • We may, at our sole discretion, decline to sell or revoke access to a License if required by law, policy, or risk controls, including adverse KYC/AML results.

7. No Custody

We do not custody, stake, delegate, or otherwise manage your assets. We only accept payment for Licenses. Performance of the License and honoring of rights under that License are the responsibility of the relevant Ecosystem Issuer.

8. Refunds & Aventus Exception

  • General Rule: All License sales are final and non-refundable.
  • Specific Exception — Aventus Cloud Node Sale (Founding Tranche): If the Aventus Foundation does not collectively sell its founding tranche of 2,000 nodes within three (3) months of the sale start, all node sellers are required to issue reimbursements to buyers of founding tranche Licenses. In that event only, we will return your payment for affected founding tranche Licenses. All other ecosystems and all other Aventus Node Cloud tranches are non-refundable.Refunds will be processed only to the original wallet address used for purchase. The user is responsible for making sure the wallet remains accessible. Refund amounts exclude any blockchain network fees, gas costs, or currency fluctuations. We are not responsible for delays or failures cuased by blockchain congestion, down-time or thrid-party issues.

9. Referrals

We may offer referral rewards. Eligibility, rates, form of payment, timing, and any conditions are determined at our absolute discretion and may be changed, withheld, or discontinued at any time. Referral rewards, if any, may be paid in any medium we decide, and only after successful completion of any required checks and waiting periods.

10. Promotions, Discounts & Booster Packs

From time to time, we may offer promotions, bundles, discounts, loyalty programs, or other incentives (collectively, “Promotions”). This includes, without limitation, promotional packages branded as Booster Packs, which may contain multiple node License allocations, or other forms of promotional benefits. All Promotions are designed, managed, and may be modified, suspended, or withdrawn entirely at our absolute discretion and without prior notice.

  • Promotions may include discounted pricing, bundle offers, or enhanced License allocations such as “2x Performance Licenses,” “Boosted Licenses,” or similar variations intended to provide additional node capacity or higher notional yield.
  • The existence of a Promotion does not guarantee availability, eligibility, or continued access to its terms. All offers are time-limited, subject to change, and may be revoked or altered at any time without obligation to notify Users in advance.
  • Booster Packs may specify the possibility of receiving a 2x Performance License or Boosted License. The probability or frequency of receiving such a License is variable and determined solely by us. It may be changed, reduced, or set to zero (0%) at any time, without obligation to disclose the current probability or distribution.
  • Promotional odds or representations (e.g., “chance of obtaining a boosted License”) are illustrative and not binding. They do not constitute guarantees, warranties, or enforceable promises. We shall bear no responsibility for any perceived discrepancy between marketing materials and actual distribution outcomes.
  • The founding tranche of the Aventus Cloud Node Sale will not include any 2x Performance Licenses or Boosted Licenses, even if general promotional materials reference such possibilities. Such promotional features apply only to tranches beyond the founding tranche and to other ecosystem sales, at our discretion.
  • Users acknowledge and agree that no claim may be made against us, our partners, or affiliates for any unfulfilled promotional representation, including but not limited to non-receipt of boosted or enhanced Licenses, discounts, or bundle benefits.
  • All Promotions are provided “as is,” and we make no warranties as to value, availability, or outcomes. We reserve the right to interpret, suspend, or terminate any Promotion at any time.

Participation in any Promotion constitutes your acknowledgment that all promotional materials are illustrative and non-binding, and that you accept the associated terms, including the possibility of no promotional benefit being delivered. You agree that you will not hold us liable for any difference between promotional communications and realized outcomes.

11. Privacy Notice

We respect your privacy and are committed to protecting your personal information. This section explains how we collect, process, and manage user data in connection with the use of the Platform.

Data Controller

Block Terminal is the data controller responsible for processing your personal data in accordance with applicable data-protection laws, including the UK GDPR and equivalent international frameworks.

Data Processors

We use Clerk for identity and user-data management, and third-party providers (such as SumSub and ScoreChain) for KYC/AML verification. Clerk handles authentication, session management, and secure storage of personal information. By registering or signing in through Clerk, you authorize Clerk to process your data under its own Privacy Policy, and you consent to our access to necessary account details to provide our services.

Data We Collect and Store

  • Name and surname
  • Email address
  • Wallet address(es) used for payment and license attribution
  • Clerk account identifiers
  • KYC/AML status (pass/fail or equivalent signal) from third-party providers

We do not store sensitive KYC documents, private keys, or payment credentials. Personal data is retained only as long as necessary for legal compliance, accounting, and audit purposes.

Legal Basis for Processing

We process data where necessary to perform a contract with you, comply with legal obligations (such as AML/KYC requirements), and pursue legitimate interests such as fraud prevention and service improvement.

Your Rights

You may request access, correction, deletion, or restriction of your personal information at any time by contacting support@blockterminal.sh.

We do not sell or rent your personal data and only share it with service providers necessary to deliver our services and comply with applicable laws.

12. Taxes

You are solely responsible for any taxes, duties, or assessments arising from your purchase or use of Licenses or Software.

13. Intellectual Property

Except for Licenses to third-party Software, the Platform, its content, and our branding are our property or our licensors’. No rights are granted except as expressly set out herein.

14. Prohibited Uses

You must not use the Platform or Software for any unlawful, infringing, or sanctioned activity, including:

  • Violations of export controls, sanctions, or anti-money-laundering laws
  • Interference with network integrity, security, or third-party rights
  • Deceptive, fraudulent, or abusive conduct

15. Warranty Disclaimer

The platform, licenses, and any information are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including without limitation any warranties of title, non-infringement, merchantability, or fitness for a particular purpose.

16. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost rewards, lost data, business interruption, or cost of substitute goods/services, arising out of or relating to these terms or your use of the platform, licenses, or software. Our total liability for any claim shall not exceed the amounts you paid us for the specific license giving rise to the claim.

17. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Platform, Licenses, or Software, your breach of these Terms, or your violation of applicable laws or third-party rights.

18. Suspension & Termination

We may suspend or terminate access to the Platform, or decline or cancel an order, at any time where required by law, for policy or risk reasons, or due to breach of these Terms. Where lawful and feasible, we may attempt to notify you.

19. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted at blockterminal.shand become effective upon posting unless stated otherwise. Continued use constitutes acceptance.

21. Governing Law & Disputes

These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of England and Wales.

You agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their formation.
